These AI Chatbot Terms of Use (“Terms”) govern your access to and use of the AI-powered chatbot (the “Chatbot”) made available on this website (the “Site”) by Penn Emblem (“Company,” “we,” “us,” or “our”). By accessing or using the Chatbot, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Website Terms of Use and Privacy Policy, which are incorporated by reference.

If you do not agree to these Terms, do not use the Chatbot.

  1. Description of the Chatbot

The Chatbot is an automated, AI-powered tool intended to provide general information and assist with common questions related to our products, services, and related topics. It may use large language model technology to generate responses based on user inputs and other data.

The Chatbot is provided for informational and convenience purposes only and is not a substitute for professional advice (including legal, financial, medical, or other specialized advice).

  1. No Professional Advice / No Reliance

You understand and agree that:

  • The Chatbot’s responses are generated automatically and may be incomplete, outdated, inaccurate, or misleading.
  • The Chatbot does not have the ability to consider all facts or circumstances that may be relevant to your particular situation.
  • Nothing provided by the Chatbot constitutes professional, legal, financial, medical, tax, or other professional advice, and should not be relied upon as such.

You are solely responsible for evaluating and verifying any information provided by the Chatbot before relying on it or taking any action based on it. If you need professional or expert advice, you should consult with a qualified professional.

  1. No Warranties; “As Is” and “As Available”

The Chatbot and all information provided through it are made available on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express, implied, or statutory, including without limitation any warranties of accuracy, completeness, reliability, merchantability, fitness for a particular purpose, title, or non‑infringement.

We do not warrant that:

  • The Chatbot will be uninterrupted, secure, or error-free;
  • The information produced by the Chatbot will be accurate, complete, current, or reliable; or
  • Defects will be corrected.

Your use of the Chatbot is at your sole risk.

  1. Limitations of Liability

To the fullest extent permitted by applicable law, in no event will Penn Emblem, its affiliates, licensors, service providers, or their respective officers, directors, employees, or agents be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or relating to your access to or use of, or your inability to access or use, the Chatbot or any information provided by the Chatbot.

To the fullest extent permitted by applicable law, our total aggregate liability for any claims arising out of or relating to these Terms or your use of the Chatbot will not exceed [the greater of (a) $100 or (b) the amount you paid, if any, to use the Chatbot in the 3 months preceding the claim].

Some jurisdictions do not allow the exclusion or limitation of certain damages or liabilities, so some of the above limitations may not apply to you. In those cases, our liability will be limited to the fullest extent permitted by applicable law.

  1. User Responsibilities and Acceptable Use

You agree that you will:

  • Use the Chatbot only for lawful purposes and in accordance with these Terms;
  • Provide only accurate and lawful information when interacting with the Chatbot; and
  • Comply with all applicable laws, regulations, and third‑party rights.

You agree that you will NOT:

  • Use the Chatbot to upload, transmit, or otherwise share any content that is unlawful, harmful, threatening, harassing, defamatory, obscene, fraudulent, infringing, or otherwise objectionable;
  • Attempt to exploit, interfere with, or damage the Chatbot, the Site, or any related systems or networks;
  • Use the Chatbot to generate or disseminate spam, malware, or content intended to deceive or manipulate others;
  • Attempt to reverse engineer, decompile, or otherwise derive the source code or underlying models of the Chatbot;
  • Use output from the Chatbot in a way that violates any applicable law, regulation, or third‑party rights (including intellectual property, privacy, and publicity rights).

We reserve the right, in our sole discretion, to suspend or terminate your access to the Chatbot for any reason, including but not limited to suspected violations of these Terms.

  1. Privacy and Data Use

Your use of the Chatbot is also governed by our Privacy Policy, which explains how we collect, use, disclose, and protect your personal information.

By using the Chatbot, you acknowledge and agree that:

  • The text and other content you submit to the Chatbot (“User Content”) may be processed, stored, and used by us and/or our third‑party service providers (including AI model providers) to operate, maintain, improve, and secure the Chatbot and related services;
  • We may retain logs of your interactions with the Chatbot for security, support, analytics, and improvement purposes; and
  • You should not submit any confidential, sensitive, proprietary, or personal information that you do not want to be processed or stored (for example: Social Security numbers, financial account numbers, passwords, medical records, or other highly sensitive information).

  1. Intellectual Property

All rights, title, and interest in and to the Chatbot, including all software, models, algorithms, interfaces, text, graphics, logos, and other content (excluding your User Content), are owned by Penn Emblem or its licensors and are protected by applicable intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non‑exclusive, non‑transferable, revocable license to access and use the Chatbot for your personal, non‑commercial use.

You retain any ownership rights you may have in your User Content. However, by submitting User Content through the Chatbot, you grant Penn Emblem and its service providers a worldwide, non‑exclusive, royalty‑free license to use, reproduce, modify, display, and process your User Content as necessary to provide, maintain, and improve the Chatbot and related services.

  1. Third‑Party Services and AI Providers

We may use third‑party service providers, including providers of AI models and infrastructure, to operate the Chatbot. Your use of the Chatbot may therefore involve your information being processed by such third parties in accordance with their own terms and policies, in addition to these Terms and our Privacy Policy.

We are not responsible for the content, accuracy, or practices of any third‑party services, nor for any downtime or errors attributable to them.

  1. Age Restrictions

The Chatbot is intended for use by individuals who are at least 16 years of age, depending on applicable law in your jurisdiction. If you are under the applicable age of majority, you may use the Chatbot only with the involvement and consent of a parent or legal guardian.

By using the Chatbot, you represent and warrant that you meet the applicable age requirement.

  1. Modifications to the Chatbot and These Terms

We may modify, suspend, or discontinue the Chatbot (in whole or in part) at any time, with or without notice.

We may also update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of these Terms. The updated Terms will be effective when posted on the Site unless otherwise required by law.

Your continued use of the Chatbot after any changes to these Terms constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Chatbot.

  1. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Penn Emblem, its affiliates, licensors, service providers, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys’ fees) arising out of or relating to:

  • Your use of, or inability to use, the Chatbot;
  • Your violation of these Terms or any applicable law or regulation; or
  • Your infringement or violation of any third‑party rights, including intellectual property or privacy rights.

  1. Governing Law and Dispute Resolution

These Terms and your use of the Chatbot will be governed by and construed in accordance with the laws of PA/USA, without regard to its conflict of laws principles.

Any disputes arising out of or relating to these Terms or the Chatbot will be resolved in the courts located in Trevose, PA/USA and you consent to the personal jurisdiction of such courts, unless a different dispute resolution mechanism (such as arbitration) is specified in our Website Terms of Use.

  1. Severability and Entire Agreement

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

These Terms, together with our Website Terms of Use and Privacy Policy, constitute the entire agreement between you and Penn Emblem with respect to your use of the Chatbot.
